Clean Room Confidentiality Agreement

There are many reasons why this approach may not be suitable for a particular transaction. The objective might feel that even if it is a team of its own linked to an NDA, the disclosure of information represents an unacceptable risk without a status quo agreement. In addition, the use of clean teams may not be feasible in a context where a full due diligence review on Target`s business and affairs is required. However, if the bidder only wants to validate certain important assumptions/metrics regarding the objective before accepting a transaction, the Clean Team approach may be an alternative to consider. The parties must agree on the extent of the disclosure of confidential information by the objective to the individual own teams and the conditions for the use of this information by the own teams.
